All designs, graphics, illustrations, UI/UX layouts, packaging concepts, and creative assets produced by Metricsilo remain the intellectual property of Metricsilo unless otherwise stated in writing. Upon final payment, you receive usage rights for the specific project deliverables. However, original project files (such as source files, working files, or raw data) remain the property of Metricsilo unless explicitly purchased. You may not resell, redistribute, or claim authorship of our work without permission.
Client Responsibilities
Clients are responsible for providing accurate information, brand guidelines, instructions, and necessary materials required to complete the project. Delays caused by missing or incorrect information are not the responsibility of Metricsilo. The client must review deliverables promptly and provide clear feedback. Once a design is approved, Metricsilo is not liable for any errors, inaccuracies, or issues identified later.
Revisions and Delivery
Revisions are provided according to the specific plan or service package selected. Excessive revisions, additional requests, or changes outside the original project scope may result in extra charges. Delivery timelines are estimates and may vary based on workload, client responsiveness, and project complexity. Metricsilo aims to deliver work promptly but does not guarantee exact delivery dates unless agreed in writing.
Payments and Refunds
All payments must be completed before project initiation unless otherwise stated. Due to the digital and custom nature of design services, all payments are final and non-refundable. If a client cancels a project after work has begun, no refunds will be issued. Metricsilo may pause or suspend work on any project if payments are incomplete or overdue.
Limitation of Liability
Metricsilo is not liable for any losses, damages, or issues arising from the use of our designs, including but not limited to printing errors, misuse by third parties, marketing performance, or technical implementation by developers. Our responsibility is limited to delivering the agreed creative assets. Metricsilo will not be liable for any indirect, incidental, or consequential damages under any circumstances.
Third-Party Tools and External Platforms
Our designs may integrate with third-party tools, fonts, software, or platforms. Metricsilo is not responsible for licensing, compatibility issues, or restrictions placed by external providers. The client must ensure proper permissions and licenses for any third-party elements they request us to use or include.
Privacy and Data Protection
Metricsilo respects your privacy and protects your information according to California privacy laws, including the California Consumer Privacy Act (CCPA). Any personal information shared with us will be used strictly for project communication, invoicing, and service delivery. We do not sell, share, or distribute client data to third parties except when required by law.
Termination of Services
Metricsilo reserves the right to terminate or refuse services at any time if the client violates these Terms, engages in abusive behavior, requests illegal content, or fails to make payments. Upon termination, the client must stop using any draft or unlicensed design files immediately.
Changes to Terms
Metricsilo may update or modify these Terms and Conditions at any time without prior notice. Continued use of the Site or services after changes are posted will constitute acceptance of the updated Terms. Clients are encouraged to review this page periodically to stay informed.
Governing Law
These Terms and Conditions are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from our services or website will be handled exclusively in California courts.
